1. Agreement to Terms

By accessing or using proofmark.art ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use the Service. We may update these terms at any time; continued use after changes constitutes acceptance.

proofmark.art is an independently operated service based in London, United Kingdom.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement. Creator accounts are subject to a vetting process at the sole discretion of proofmark.art.

3. Creator Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, complete information during registration and to keep it up to date.

4. Certificates of Authenticity

proofmark.art provides tools for creating and managing digital Certificates of Authenticity (COAs) for physical works. You represent and warrant that you are the rightful creator or authorized representative of any artwork registered on the platform. proofmark.art does not independently verify the authenticity of registered works and assumes no liability for fraudulent or inaccurate certificates.

5. NFC Tags & Verification

proofmark.art NFC tags are physical products sold separately. Once linked and locked to a certificate, tags cannot be reassigned. proofmark.art is not responsible for physical damage, loss, or removal of NFC tags after purchase.

6. Intellectual Property

You retain all copyright, ownership, and other intellectual property rights in your artwork and creative content. Uploading content to proofmark.art does not transfer those rights to us, and we do not claim ownership of your images or artwork.

By uploading content, you grant us a limited, non-exclusive, royalty-free licence to host, reproduce, resize, transmit, and display it only as needed to provide the Service. This includes storing your content, generating certificates, and operating the profile, artwork, and verification pages you choose to publish.

We do not sell your creative content or use it for advertising, merchandise, or training AI models. The licence lasts only for as long as reasonably necessary to provide the Service, subject to backups and issued certificates that may be retained as described in these Terms and our Privacy Policy.

7. Subscriptions & Billing

Paid features are billed on a recurring subscription basis via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing cycle. Refunds are handled on a case-by-case basis at the discretion of proofmark.art.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or to facilitate fraud.
• Register works you do not own or have authorization to certify.
• Attempt to reverse-engineer, scrape, or disrupt the Service.
• Impersonate another creator or misrepresent your identity.

9. Limitation of Liability

To the fullest extent permitted by law, proofmark.art shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time for violations of these terms or for any reason at our discretion. Upon termination, your right to use the Service ceases immediately. Issued certificates may remain publicly accessible for collector verification.

11. Governing Law

These terms are governed by the laws of England and Wales. Nothing in these terms deprives you of mandatory consumer protections that apply in the country where you live.
